There is no single universal “franchise licence” that legalises every franchise in India.

A franchise outlet generally needs the registrations and approvals applicable to its legal entity, location, employees, products and sector.

The franchisor’s brand approval does not replace the franchisee’s statutory licences.

Licenses Required to Start a Franchise Business in India 2026 - Complete Sector-Wise Guide

Is There a Special Franchise Registration in India?

For most business-format franchises, the answer is no: India has no single central franchise registration certificate that every franchisee must obtain before opening. Instead, compliance is layered.

You may need entity registrations, tax registration, municipal permissions, labour registrations and industry-specific licences.

This is why copying a licence checklist from another franchise can be risky. A cloud kitchen, diagnostic centre, preschool, salon, EV dealership, and stock-broking partner can fall under completely different regulatory systems.

The Five-Layer Franchise Compliance Framework

Layer Examples Applies based on
Business identity PAN, incorporation/partnership documents, current account, Udyam Entity and MSME status
Tax GST registration, TDS obligations, professional tax in applicable states Turnover, supply type, state and entity
Premises / local Shops & Establishments, municipal trade licence, signage, fire NOC State, municipality, building use, area, occupancy
Employment EPF, ESI/social security, wage and workplace obligations Employee count, wage rules, notified coverage and current labour codes
Sector FSSAI, drug licence, clinical establishment, regulator authorisation, pollution consent etc. Actual activity carried out at the outlet

Business Entity and PAN: Start With the Correct Applicant

The licence holder must match the business that will actually operate the franchise. If the franchise agreement is signed by an LLP but the GST, FSSAI, and lease are in an individual’s name, don’t assume the mismatch is harmless.

Decide the operating entity first, then align the lease, bank account, tax and sector registrations.

  • Proprietorship – simple ownership but no separate legal personality.
  • Partnership firm – governed by a partnership deed and applicable registration rules.
  • LLP – separate legal entity with MCA registration.
  • Private limited company – a separate legal entity with MCA compliance.

Udyam Registration: Not a General Operating Licence, but Often Useful

Udyam is the Government of India’s MSME registration system. Registration is free and paperless on the official portal.

It can help with MSME benefits and financing, but it is not a substitute for GST, FSSAI, trade licence, or sector approvals.

2026 MSME classification

From 1 April 2025, the Udyam portal lists micro enterprises up to Rs. 2.5 crore investment and Rs. 10 crore turnover; small up to Rs. 25 crore investment and Rs. 100 crore turnover; medium up to Rs. 125 crore investment and Rs. 500 crore turnover.

GST Registration for a Franchise

GST registration depends on aggregate turnover, state/category rules and compulsory-registration provisions.

Section 22 of the CGST Act sets the general Rs. 20 lakh threshold and allows higher thresholds up to Rs. 40 lakh for suppliers engaged exclusively in notified goods. Section 24 contains compulsory-registration cases.

In practice, many goods businesses in normal states use a Rs. 40 lakh threshold while service businesses commonly use Rs. 20 lakh, but exceptions matter.

A franchise should verify GST treatment before signing because franchise fees, royalties, marketing fees, product supply, and inter-state transactions can affect invoices and cash flow.

Do not rely on a single turnover number without checking the exact business activity and current notifications.

Shops and Establishments Registration

Shops and Establishments law is largely state-specific. It typically regulates commercial establishments on matters such as working hours, weekly holidays, employment conditions and record-keeping.

Registration/intimation timelines and online portals vary by state. A franchise expanding across multiple states should not use one state’s certificate as a national licence.

Municipal Trade Licence and Local Permissions

Municipal corporations, municipalities, panchayats and development authorities may require trade licences or activity-specific permissions. Requirements depend on the city, building use, and the nature of the business.

Signage permissions, health trade licences, eating-house requirements, and local nuisance rules may fall outside central-government portals.

Site-selection rule
Before signing a long lease, ask the local authority or a qualified compliance professional whether the premises is legally usable for the proposed activity.

A commercially attractive site can still fail because of zoning, fire, parking, kitchen exhaust, biomedical waste, or building-use restrictions.

Fire NOC / Fire-Safety Compliance

State/local fire services, building rules, and occupancy criteria govern fire approvals. Whether an outlet needs a formal Fire NOC depends on building height, area, occupancy, and activity.

Mall tenants should not assume the mall’s fire certificate automatically covers every tenant-side installation or operating requirement.

FSSAI for Food Franchise Businesses – Important 2026 Update

Any franchise involved in food must check FSSAI eligibility on FoSCoS for the exact activity – restaurant, caterer, retailer, distributor, manufacturer, warehouse, e-commerce, head office and so on.

The licence category depends on turnover, capacity, geography, and activity.

FSSAI reform effective 1 April 2026

FSSAI announced that the turnover threshold for registration would increase from Rs. 12 lakh to Rs. 1.5 crore, State licensing would cover up to Rs. 50 crore, and Central licensing would apply beyond that limit, with activity-specific rules/exceptions continuing.

Because some eligibility pages and cached references may still show older slabs, use the live FoSCoS eligibility tool when filing.

  • Restaurant / cafe / QSR franchise: check food-service licence category and premises.
  • Cloud kitchen: food-service licence plus local premises/fire requirements as applicable.
  • Packaged-food retail/distribution: retailer/distributor eligibility and Legal Metrology may also matter.
  • Multi-state food head office/e-commerce: central licensing can apply based on activity rules.

Legal Metrology for Packaged Goods

If the franchise manufactures, packs, or imports pre-packaged commodities, Legal Metrology requirements may apply.

The Department of Consumer Affairs requires registration of manufacturers/packers/importers under Rule 27 of the Legal Metrology (Packaged Commodities) Rules, 2011.

Retail franchises should also ensure that packaged goods carry required declarations and that weighing/measuring instruments are verified where applicable.

EPF and ESI / Social Security for Employees

Employer social-security coverage changed materially in late 2025. EPFO currently states that the EPF & MP Act applies to notified establishments engaging 20 or more employees.

For ESI, ESIC issued guidance after the Code on Social Security, 2020 came into effect nationwide on 21 November 2025; the guidance states ESI coverage applies to establishments with ten or more persons, and to specified hazardous/life-threatening occupations even with one employee, subject to the Code and implementation rules.

Because wage definitions, establishment coverage, and transition rules can be technical, franchises with growing headcount should verify applicability with EPFO/ESIC or a labour-compliance professional rather than relying on an outdated employee-count checklist.

Healthcare and Diagnostic Franchises

The Clinical Establishments (Registration and Regulation) Act, 2010 applies in the states/UTs that have adopted it and covers clinics, hospitals, diagnostic centres and allied health establishments.

The central Clinical Establishments portal currently lists 19 adopting states/UTs. Other states can have their own laws.

Therefore, a diagnostic franchise must map location-specific laws rather than assume a single national registration route.

Healthcare facilities can also face biomedical-waste, professional qualification and state health-department requirements. A collection centre may have a different compliance burden from a full pathology laboratory.

Pharmacy Franchise

A pharmacy franchise is not legal merely because the brand has a drug licence elsewhere.

Drug sale licences are location- and entity-specific and are administered by the appropriate State Licensing Authority under the Drugs and Cosmetics framework.

The outlet must also meet pharmacist, premises, storage and record requirements applicable to its licence category.

Financial Franchise and Agency Models

Financial services require extra caution because the word “franchise” is often a marketing label, while the legal role may be Authorised Person, distributor, agent, DSA, referral partner or regulated intermediary.

  • Stock broking / Authorised Person: check the current SEBI Stock Brokers Regulations, 2026 and the relevant stock exchange/broker onboarding framework.
  • Mutual-fund distribution: verify the current AMFI/SEBI distributor requirements, certification and ARN process.
  • Insurance: act only under the applicable IRDAI/insurer appointment and intermediary framework.
  • Loan DSA: generally operates under a bank/NBFC agreement and the lender’s regulatory/compliance framework; do not market it as an independent lending licence.
  • Investment advisory/research: RIA/RA activities require their own SEBI regulatory path; a generic franchise agreement cannot substitute for registration.

Automobile and EV Franchise Compliance

An automobile dealership or EV outlet can combine retail, workshop, charging and warehousing activities. Each layer can trigger different permissions.

Workshop oil, batteries and hazardous waste may involve pollution-control obligations. Vehicle trade and registration activities may involve transport-department requirements.

EV charging infrastructure must comply with the current electricity/charging guidelines applicable to the site.

Pollution Control – When Does It Matter?

Pure office/service franchises may have little pollution-control burden, while kitchens, workshops, laundries, manufacturing units, diagnostic facilities and waste-generating operations can require consent or authorisation from the State Pollution Control Board/Pollution Control Committee. The exact requirement depends on the activity category and state.

Which Licence Should Be in the Franchisor’s Name and Which in the Franchisee’s?

The answer follows legal responsibility. Brand trademarks are normally owned/licensed by the franchisor. Local operational licences are usually held by the entity actually operating the premises.

Do not accept a statement such as “the brand already has all licences” without checking whether the licence is transferable, premises-specific, entity-specific or activity-specific.

Pre-Opening Licence Timeline

Frequently Asked Questions

Do I need a franchise licence from the Government of India?

Usually there is no single central franchise licence. You need the business and sector approvals applicable to the activity and location.

Does the franchisor’s FSSAI licence cover my outlet?

Normally, you must verify the exact entity/premises/activity licensing structure. Do not assume another entity’s licence covers your outlet.

What changed in FSSAI in 2026?

FSSAI announced revised turnover thresholds effective 1 April 2026, including registration up to Rs. 1.5 crore and State licensing up to Rs. 50 crore, subject to activity-specific rules.

Is GST compulsory for every franchise?

No. It depends on turnover, state, activity and compulsory-registration provisions. Many franchise relationships nevertheless enter GST early because of B2B invoices, royalty and input-credit considerations.

Is Udyam compulsory?

Udyam is an MSME registration, not a universal operating licence. It is useful/required for specific MSME-linked purposes, but it is not a substitute for sector licences.

Does every outlet need a Fire NOC?

Not necessarily; the requirement depends on state/local fire and building rules. Fire-safety compliance can still apply even if a formal NOC isn’t issued separately.

What licence does a diagnostic franchise need?

It depends on the state, whether it is a collection centre or full lab, the Clinical Establishments framework or state law, professional qualifications and biomedical-waste requirements.

Can I start a pharmacy using the brand’s licence?

A retail drug sale licence is generally tied to the licensed premises/entity and State Licensing Authority requirements. Verify before signing the franchise.

Do financial franchises need special approvals?

Often yes, because the legal role may be regulated even if marketed as a franchise. Identify the exact activity first.

Who should pay licence fees – franchisor or franchisee?

The franchise agreement should state responsibility, but statutory liability follows the law. Budget the cost even if the franchisor promises assistance.

Disclaimer: Licences are highly location- and activity-specific. State rules, municipal portals and sector regulations can change. Use this as a mapping checklist and verify the live requirements before lease execution and opening.
